The purpose of real estate due diligence is for the investor to be able to make an assessment of the possible contingencies that may affect the acquisition of the property and the risks of such an investment.

Real Estate due diligence materializes in a written report where the legal advisors will make known to the buyer all aspects of the investigation carried out on the transaction, issuing a legal opinion of each possible circumstance that occurs in the specific case.

How to invest in Real Estate in Spain

Investing in Real Estate in Spain can be an excellent financial decision, but foreign investors should be aware of the tax responsibilities that these transactions entail. Two main factors directly influence the taxation of the operation and the types of taxes that must be paid: the tax residency of the investor and the country of origin of both the buyer and seller of the property.

Tax Residency: The status of tax residency is one of the most determining factors in the taxation of a real estate investment in Spain. Generally speaking, an investor is considered to have tax residency in Spain if they stay in the country for more than 183 days during the calendar year. Also, it is considered if the base of their activities or economic interests is directly or indirectly located in Spain.

Tax residency in Spain carries certain tax obligations. For example, tax residents are subject to personal income tax (IRPF) on their worldwide income, while non-residents only pay taxes on income generated in Spain through non-resident income tax (IRNR). In the case of real estate investments, tax residents pay taxes on profits obtained from the sale of properties, regardless of where the property is located, while non-residents only pay taxes on the gains obtained from properties located in Spain.

Country of origin: Additionally, the country of origin of the investor and the property seller can affect tax obligations due to international treaties to avoid double taxation. These treaties establish rules on how income and capital gains obtained in one country by residents of another country should be taxed. If there is such a treaty between Spain and the investor’s country of origin, the latter may benefit from reductions in the tax rate or even exemptions in certain cases.

These treaties also determine which country has the right to tax first. Generally, the investor’s country of residence has the primary right to tax income and capital gains, while the country where the property is located has a secondary right. However, each treaty has its own specifics, so it is essential that foreign investors seek expert tax advice to fully understand their obligations and opportunities.

Taxes and fees that foreign Real Estate investors must pay in Spain

A foreign investor who acquires Real Estate in Spain must consider Spanish tax regulations and the different tax rates associated with the acquisition and holding of the property. One of the first taxes to be faced is the Property Transfer Tax and Stamp Duty (ITP) if the property is second-hand. This tax must be paid within one month from the formalization of the purchase.

The ITP rate varies between 6% and 10%, depending on the Autonomous Community in which the property is located, and is applied to the purchase price of the house. Additionally, in the case of real estate transfers, Stamp Duty (AJD) is also paid, albeit at a much lower rate.

If the property is new, that is, if it is being sold for the first time, then Value Added Tax (VAT) must be paid, instead of the ITP. The VAT rate for new homes is 10% in most of Spanish territory. This tax must also be paid at the time of the formalization of the purchase.

Beyond the initial purchase taxes, once the investor becomes the owner of the property, they must also face the annual payment of the Property Tax (IBI). This tax is a charge that affects the ownership of any type of property and is paid annually to the city council where the property is located. The IBI is calculated by applying a percentage, which varies between 0.4% and 1.1%, to the cadastral value of the property.

In addition to these taxes, it is important for the foreign investor to consider that, in case of renting the property, they will have to pay tax on the income obtained in their Spanish income tax return, according to current legislation. Lastly, if they decide to sell the property in the future, they will have to face the payment of the municipal capital gains tax and, possibly, taxation on capital gains.

Residence permit for real estate investors in Spain

Investment in Real Estate in Spain does not require the buyer to hold a residence permit. Both citizens of the European Union and those from non-EU countries can acquire properties without any residence requirement. However, there are tax considerations and other benefits that might lead a foreign investor to consider obtaining tax residency in Spain.

Investing in Real Estate in Spain as a foreigner may involve double taxation, since you could be subject to taxes both in your home country and in Spain. Therefore, many foreign buyers consider acquiring tax residency in Spain to mitigate this tax burden.

To obtain tax residency in Spain, the investor must meet certain criteria. Among these are physically staying in Spanish territory for more than 183 days a year or having the main core or base of their activities or economic interests in Spain, either directly or indirectly.

This implies that if the majority of businesses, investments, or the administration and management of them are carried out in Spain, tax residency could apply, even if the individual spends less than 183 days a year in the country.

In addition, Spanish law also considers tax residency based on family ties. It is presumed that an individual is a tax resident in Spain if their spouse (not legally separated) and their minor children, who are dependent on them, habitually reside in Spain.

It’s important to note that acquiring tax residency has significant implications, including the obligation to pay taxes in Spain on worldwide income, that is, income earned both within and outside the country. Therefore, investors should seek tax advice before deciding to apply for tax residency in Spain.

Golden Visa for real estate investors in Spain

The «Golden Visa» is a powerful instrument for non-EU foreign investors interested in the Spanish real estate market. This residency visa was established in Law 14/2013 and allows investors and their families (spouses and children) to regularize their situation in Spain in a quick and flexible manner.

This residency visa, also known as the investor visa, has the advantage of not requiring a minimum stay in the country, offering greater freedom to the investor. Also, this visa avoids the payment of certain additional taxes on the purchase of real estate, making the investment more attractive.

To apply for and obtain the Golden Visa, it is essential that the investor meet certain requirements. The most notable of these is an investment in real estate in Spain equal to or greater than 500,000 euros free of any encumbrance. That is, the minimum investment amount must be free of mortgages or charges.

In addition to this investment requirement, to obtain the Golden Visa, it will also be necessary to present the certificate of the Property Registry of the acquired property, which must not be more than 90 days old from its issuance at the time of applying for the visa.

Other requirements for the granting of the Golden Visa include the absence of criminal records, the hiring of private medical insurance with coverage in Spain, and the demonstration of sufficient economical means to support the applicant and his family during their stay in Spain.

Once granted, the Golden Visa has a minimum duration of one year, but can be extended. Moreover, after five years of continuous residence, holders can apply for a permanent residence permit, and after ten years, they can even opt for Spanish nationality, as long as they meet the corresponding requirements.
